1. Scope
These Terms apply to the offerings of Struxify — Owner: Dávid-Dennis Warning, Bürgermeister-Steenbock-Straße 21 a, 24558 Henstedt-Ulzburg, Germany: the Shopify app "Struxify" and the web app "Struxify SEO" (seo.struxify.io). By installing the app or booking a plan, the user agrees to these terms. The offer is directed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (shop operators, self-employed persons, and companies) acting in the exercise of their trade or self-employed professional activity; no sales are made to consumers.
2. Services & AI Quality Assurance
Struxify uses advanced AI technology (Google Gemini Enterprise) to generate product texts, SEO & GEO metadata, and multilingual localizations. All AI models are operated under Google's enterprise security policies and are subject to strict quality filters.
As with all AI-powered systems, I recommend reviewing generated content before publication – especially for industry-specific terminology or legally regulated product categories. The final publishing decision rests with the user. Struxify does not guarantee specific SEO rankings or revenue increases, as these depend on numerous external factors.
Required Info Check: This module of the Shopify app is a technical completeness check. It only checks whether fields (e.g. manufacturer details, product identifier, warnings) are filled in and have a technically valid form. This tool checks whether the data is technically present. It does not replace legal advice on whether the content is correct. The user alone is responsible for the content, correctness and legal completeness of the information and for how it is shown in the store; a “complete” result is no assurance that legal requirements are met.
3. Credits & Billing
Credits for bulk updates are permanently valid after purchase as long as the app is installed. When uninstalling the app, unused credits expire and cannot be refunded.
For the Struxify SEO web app the following applies additionally: Pro subscription €9 per month via Stripe, cancellable at any time; the full product-specific terms are available at seo.struxify.io/legal.
Early access offer (Shopify app "Struxify", Pro plan)
The first 50 people who sign up a shop via the pre-registration on struxify.io before the app launches in the Shopify App Store receive the Pro plan for that shop on promotional terms: for places 1–10 the first 3 billing months of Pro are free of charge; for places 11–50 Pro costs €19 per month for the first 3 billing months. During the promotion all Pro features are available with a quota of 500 products per month. The order of sign-up is decisive. The shop must install the app and choose Pro within 60 days of the launch notification; eligibility is matched via the email or shop address given at pre-registration. The promotional price appears in Shopify as a time-limited discount or as a credit and is confirmed there. After that, the regular Pro price applies (€59 per month with monthly billing or €49 per month with annual billing) with the regular quota of 1,000 products per month. Cancellation is possible at any time, including during the promotion. The promotional price applies once per shop, is non-transferable and cannot be paid out in cash.
4. Subscriptions & Cancellation
All subscriptions are billed through the Shopify Billing API. Cancellation is possible at any time through the Shopify admin interface. After cancellation, access remains until the end of the billing period.
5. No Right of Withdrawal (B2B)
As the offer is directed exclusively at entrepreneurs, there is no statutory right of withdrawal for consumers. By booking, the customer confirms that they are acting in the exercise of their trade or self-employed professional activity.
6. Limitation of Liability
Struxify is liable without limitation for intent, gross negligence, and injury to life, body, or health. In cases of slight negligence, Struxify is liable only for the breach of essential contractual obligations, limited to the foreseeable damage typical for this type of contract. Beyond that, liability — in particular for lost profits or indirect damages (e.g. ranking losses in search engines) — is excluded to the extent permitted by law.
7. Data Protection
I process data in accordance with the GDPR. Since Struxify operates as a Shopify app, data (product info, store settings) is obtained via the Shopify API. For AI optimization, product texts are transmitted to the Google Gemini API. No personal data of your end customers is transmitted to the AI. → Full Privacy Policy
8. Final Provisions
The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods. If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction is the registered office of Struxify. Should individual provisions of these Terms be invalid, the validity of the remaining provisions shall remain unaffected.
